1. Agreement to Terms

By accessing or using the SecureMe247 website (secureme247.com) and/or engaging our cybersecurity services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and SecureMe247, Inc. ("SecureMe247," "we," "our," or "us").

2. Services Description

SecureMe247 provides managed cybersecurity services including, but not limited to:

  • Managed Detection and Response (MDR)
  • Endpoint Protection
  • Network Security Management
  • Cloud Security
  • Compliance and Governance, Risk & Compliance (GRC) services
  • Penetration Testing and Security Assessments

Specific service terms, deliverables, and Service Level Agreements (SLAs) are defined in individual Master Service Agreements (MSAs) and Statements of Work (SOWs).

3. Use of Website

Permitted Use

You may use our website for lawful purposes and in accordance with these Terms. You agree not to:

  • Attempt to gain unauthorized access to any portion of the website or its systems
  • Use automated tools to scrape, crawl, or extract data without written permission
  • Interfere with or disrupt the website's functionality or servers
  • Transmit any malicious code, viruses, or harmful content
  • Impersonate any person or entity

4. Intellectual Property

All content on this website — including text, graphics, logos, icons, images, software, and documentation — is the property of SecureMe247 or its licensors and is protected by United States and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content without our prior written consent.

5. Client Obligations

When engaging our services, clients agree to:

  • Provide accurate and complete information necessary for service delivery
  • Grant appropriate access to systems and environments as required for assessments and monitoring
  • Designate authorized points of contact for security communications
  • Promptly respond to critical security notifications
  • Maintain compliance with applicable laws and regulations

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the engagement. SecureMe247 treats all client data, infrastructure details, and security findings as strictly confidential. We will execute Non-Disclosure Agreements (NDAs) upon request.

7. Service Level Agreements

Specific SLAs for response times, uptime guarantees, and resolution targets are defined in individual service agreements. General SLA targets include:

  • Critical incidents: Response within 15 minutes
  • High-severity incidents: Response within 1 hour
  • Platform uptime: 99.9% availability
  • SOC availability: 24/7/365

8. Limitation of Liability

To the maximum extent permitted by law:

  • SecureMe247's total liability shall not exceed the fees paid by the client in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We do not guarantee that our services will prevent all security incidents
  • Clients are responsible for maintaining their own backup and disaster recovery procedures

9. Indemnification

You agree to indemnify and hold harmless SecureMe247, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

10. Payment Terms

Payment terms for professional services are specified in individual agreements. Unless otherwise stated:

  • Invoices are due within 30 days of issuance
  • Late payments may incur a 1.5% monthly fee
  • Prices are exclusive of applicable taxes

11. Termination

Either party may terminate services per the terms of the individual service agreement. Upon termination:

  • SecureMe247 will securely return or destroy client data within 30 days
  • Outstanding fees remain payable
  • Confidentiality obligations survive termination

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Travis County, Texas.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect.
